Basically, this is the main reason for this email -- Prior to closing, we are looking to invite "Select individuals/Companies" to participate with us on a 25% -- 75% basis, with the investors putting up 75%.
On sale, we offer the 75% partner/s the opportunity to "Exchange" with us into a "New" property and defer, through a 1031 "swap"; any gain that would be realized is deferred to the new property. If the 75% partner/s prefers to receive their profit and exit the partnership, of course, they could. Typical holding period is between 4 and 5 years and depending on the project, they receive an 8% cash on cash return. All investors receive the 8% return on their invested capital. 25% and 75% investors are treated equally. When the cash flow increases, then the 25% investor receives 50% of the increase and the 75% participant receives 50% of the increase.
Upon sale, all participants receive any accrued priority cash flow, then their invested capital; and finally there is 50/50 split of profit. The managing partner will be an entity controlled by the investment group who have completed over 50 of these types of transactions in the last two years and we are actively looking for opportunities on an ongoing basis.
